Software licence — use by written consent
Nyarai Worker Placement & Registration Portal (WPRP) · © 2026 Shadrack Ochieng (shad.co.ke). All rights reserved.
1. Ownership
The software, its source code, design, database structure, documents and branding templates (the “Software”) are the property of Shadrack Ochieng (the “Licensor”). Nothing in this licence transfers ownership of the Software to anyone.
2. Your data stays yours
Records entered into the Software (workers, clients, placements, receipts, documents and photos) belong to the organisation that entered them (the “Licensee”). The Licensor claims no ownership of that data and will only access it when the Licensee asks for support, and only for that purpose. The Licensee is responsible for having a lawful basis to collect and hold personal data, including under the Kenya Data Protection Act, 2019.
3. General use, with the Licensor’s consent
The Software may be used by an organisation only with the Licensor’s prior written consent (an email is enough). Where consent is given, the Licensor grants that organisation a non-exclusive, non-transferable, non-sublicensable licence to run the Software for its own internal business, for the period and on the terms agreed in that consent. Use without consent, or beyond what the consent covers, is not licensed.
4. What is not allowed without further written consent
- Copying, selling, renting, lending, sharing or otherwise distributing the Software or its code.
- Installing it for, or offering it to, another organisation or person.
- Modifying it, building on it, or using it to create a similar or competing product.
- Removing or hiding the developer credit, copyright notice or this licence.
- Reverse engineering or decompiling it, except where the law expressly allows this despite this clause.
- Giving anyone else access to the source code, server files or database credentials.
5. Term, payment and withdrawal of consent
Consent lasts for the period agreed. Where use is subject to a subscription or fee, consent continues only while it is paid. The Licensor may withdraw consent if these terms are breached or a fee remains unpaid, after giving 14 days’ written notice to fix the problem. On withdrawal the Licensee must stop using the Software, and remains free to keep and export its own data.
6. Updates and support
Updates, fixes and support are provided only as agreed in writing with the Licensor.
7. Third-party components
The Software includes third-party libraries and fonts (for example Bootstrap, Chart.js, Flatpickr, Cropper.js, Compressor.js, Bootstrap Icons, dompdf, Inter and Fraunces). These stay under their own licences, which this licence does not change.
8. No warranty and limit of liability
The Software is provided “as is”, without warranty of any kind. To the fullest extent the law permits, the Licensor is not liable for indirect or consequential loss, and total liability is limited to the fees paid for the Software in the 12 months before the claim. The Licensee is responsible for keeping backups of its own data.
9. Governing law
This licence is governed by the laws of Kenya.
10. Ask for consent or ask a question
